General Provisions for all Standing Committees

Terms

Each Standing Committee member shall serve two-year staggered terms as follows: at the first meeting of the committee after approval of these amended and restated bylaws, the chairman of the committee shall divide the members into two classes (Class A and Class B) of approximately equal size. Members assigned to Class A shall serve an initial term of one year and members assigned to Class B shall serve an initial term of two years. Thereafter, the positions of all members whose terms of office are expiring shall be filled for a period of two years.

Quorum

A majority of voting members present in person or by telephone shall constitute a quorum. Unless otherwise required by the Compact or these Bylaws, the affirmative vote of a majority of the committee members present at a meeting at which a quorum is present shall be the act of each Standing Committee.

Vacancies

Vacancies on any standing committee shall be filled by the chairman of the committee for the remainder of the term.

Meetings

Each committee may meet at such times and upon such notice as the committee chairman may designate.
